什么是vie企業(yè)？

VIE 企業(yè) (VariableInterest Entity ，直譯為「可變利益實(shí)體」 ) ，即 VIE 結構，在國內被稱(chēng)為「協(xié)議控制」，是指境外注冊的上市實(shí)體與境內的業(yè)務(wù)運營(yíng)實(shí)體相分離，境外的上市實(shí)體通過(guò)協(xié)議的方式控制境內的業(yè)務(wù)實(shí)體，業(yè)務(wù)實(shí)體就是上市實(shí)體的 VIEs （可變利益實(shí)體）。

VIE 企業(yè)一般由境外上市主體、外商獨資企業(yè)（WFOE）和境內經(jīng)營(yíng)實(shí)體（外資受限業(yè)務(wù)牌照持有者，如具有辦學(xué)資質(zhì)的學(xué)校）三部分架構組成。其中，境外上市主體出于稅收、注冊便利等種種考慮，可能采取開(kāi)曼公司、香港殼公司等多種甚至并存的多重模式。

到底什么是VIE？

vie：?。ㄈQ(chēng)：Variable Interest Entities，翻譯：可變利益實(shí)體），即“VIE結構”，也稱(chēng)為“協(xié)議控制”，為企業(yè)所擁有的實(shí)際或潛在的經(jīng)濟來(lái)源，但是企業(yè)本身對此利益實(shí)體并無(wú)完全的控制權，此利益實(shí)體系指合法經(jīng)營(yíng)的公司、企業(yè)或投資。

　　2013年3月，李彥宏的“鼓勵民營(yíng)企業(yè)海外上市（VIE）取消投資并購、資質(zhì)發(fā)放等方面政策限制”的提案引發(fā)產(chǎn)業(yè)熱議。VIE結構在中國法律規范下仍處于“灰色”地帶，盡管有嘗試性案例發(fā)生，但中國法院尚未對控制協(xié)議的合法性做出過(guò)肯定。
